Use of any of the material or features appearing on  Alicia I. Dearn’s website is subject to these terms and conditions. You agree to these terms and conditions by accessing and viewing the site.

These terms and conditions apply exclusively to your access to, and use of, the web site located at www.dearnlaw.com. These terms and conditions do not alter in any way the terms or conditions of any other agreement you may have with Alicia I. Dearn or Higgs, Fletcher, & Mack, LLP.

Dearnlaw.com is the marketing website of Alicia I. Dearn, attorney at law and Higgs, Fletcher, & Mack, LLP. The materials on the Site include advertisements for legal services.

This is a Contract

The Terms is a legal agreement between Alicia I. Dearn, Higgs, Fletcher, & Mack, LLP, and the User. The Site is only available to individuals who can form legally binding contracts under applicable law. The Site is not available for use by minors. Any User of this Site represents that he or she accepts these Terms and intends to be personally bound by the Terms or that he or she has been authorized to accept these Terms on behalf of a company.   • interfere with or disrupt the Site or servers or networks connected to the Site by posting advertisements or links to competing services, transmitting “junk mail”, “spam”, “chain letters”, or unsolicited mass distribution of e-mail
  • compromise the security of the Site, including, but not limited to, trying to gain access to system areas private to Alicia I. Dearn, Higgs, Fletcher, & Mack, LLP, or to other Users
  • aggregate data off the Site for commercial purposes outside the scope and purpose of the Site, including, but not limited to, using information available on the Site to spam or solicit Users without their permission

  • rent, transfer, distribute or grant any rights in the Site in any form

DEARN AND HIGGS, FLETCHER, & MACK, LLP SHALL  NOT BE LIABLE FOR ANY DAMAGES ARISING FROM INTERRUPTION, SUSPENSION OR TERMINATION OF THE SITE, INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, WHETHER SUCH INTERRUPTION, SUSPENSION OR TERMINATION WAS JUSTIFIED OR NOT, NEGLIGENT OR INTENTIONAL, INADVERTENT OR ADVERTENT.

Indemnification

The User agrees to indemnify, defend, and hold Alicia I. Dearn and Higgs, Fletcher, & Mack, LLP harmless from and against any and all liability and costs incurred in connection with any loss, liability, claim, demand, damage, and expenses arising from or in connection with the contents or use of the Site. The User agrees that this defense and indemnity shall also apply to any breach by the User of the Terms. The User further agrees that this defense and indemnity shall include without limitation attorneys’ fees and costs. The User also agrees that this defense and indemnity shall apply to Alicia I. Dearn, Higgs, Fletcher, & Mack, LLP, and their affiliates, agents, associates and employees. Alicia I. Dearn and Higgs, Fletcher, & Mack, LLP reserve the right, at their own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by the User and the User shall not in any event settle any matter without the written consent of Alicia I. Dearn or Higgs, Fletcher, & Mack, LLP.

No Agency

No agency, partnership, joint venture, employer-employee or franchiser-franchisee relationship is intended or created between User and Alicia I. Dearn or Higgs, Fletcher, & Mack, LLP by these Terms.

Choice of Law and Venue

The Terms and the relationship between the User and Alicia I. Dearn and Higgs, Fletcher, & Mack, LLP shall be governed by the laws of the State of California without regard to its conflict of law provisions, even if the User is outside of California. Jurisdiction and venue shall be exclusive to the state or federal courts in the County of San Diego, California, United States of America. Users consent to the exclusive jurisdiction of these courts.

The original of the Terms has been written in English. The User waives any statute, law, or regulation that might provide an alternative law or forum or to have the Terms written in any language other than English. Alicia I. Dearn, Higgs, Fletcher, & Mack, LLP,  and User exclude the United Nations Convention on Contracts for the International Sale of Goods from these Terms.

Export Control

Alicia I. Dearn and Higgs, Fletcher, & Mack, LLP control and operates the Site from their offices in California, United States of America and make no representation that the content or templates are appropriate for use in other locations. User agrees to comply with all U.S. and other export laws and assumes sole responsibility for obtaining licenses to export or re-export as may be required. If User uses the Site from other locations, User is responsible for complying with any applicable local laws, including but not limited to the export and import regulations of other countries.

Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section.

Entire Agreement

The Terms constitute the entire agreement between User and Alicia I. Dearn and Higgs, Fletcher, & Mack, LLP with respect to the subject matter covered herein, and supersede all previous agreements.

Severability

If any provision of these Terms shall be deemed unlawful, void or unenforceable by a court of competent jurisdiction, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision. The invalid that provision shall also be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.

Waiver of Terms

If Alicia I. Dearn or HIggs, Fletcher, & Mack, LLP fail to exercise or enforce any right or provision of these Terms, that failure shall not be used to prove that Alicia I. Dearn or IHggs, Fletcher, & Mack, LLP have waived the right or provision. No waiver of any of the Terms shall be deemed a waiver of any other such Terms.

Any notices, questions or comments to Alicia I. Dearn or Higgs, Fletcher, & Mack, LLP regarding the Terms shall be sent using the site’s contact form. Any notice to User shall be given to the name and email or mailing address submitted at the time of User’s registration.
